1. Introduction
Welcome to Souq+. These Terms govern your use of the Souq+ platform ("Platform"), operated by Souq+ ("we", "us", "our"). By creating an account or using any part of the Platform, you ("you", "Reseller", "User") agree to these Terms. If you do not agree, do not use the Platform.
2. Eligibility & Account
You must be at least 18 years old and capable of entering into a binding contract under the laws of your country of residence. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access.
3. The Service
Souq+ connects independent Resellers with verified suppliers. Resellers create their own public storefront, select products from the supplier catalog, set retail prices, and earn a commission on each successful order. Suppliers handle inventory, shipping, and cash-on-delivery payment collection.
We do not own the inventory, do not deliver products, and do not handle end-customer payments directly. We provide the technical infrastructure that links the parties.
4. Reseller Responsibilities
As a Reseller, you agree to:
- Accurately represent products you list, including price, description, and availability.
- Comply with all applicable laws, including consumer protection, advertising, tax, and data-protection laws.
- Not modify supplier product descriptions or images in a way that misleads customers.
- Respond to customer enquiries that arise from your storefront in a timely manner.
- Maintain your account in good standing and provide accurate payout information.
5. Commissions, Pricing & Payouts
You set the retail price on your storefront, subject to the supplier's minimum selling price. Your commission for each successful order is the difference between your retail price and the supplier's wholesale price, less any applicable platform fees and delivery costs as published in your dashboard.
Commissions are held until the order is confirmed delivered and the cash-on-delivery payment is settled with the supplier, after which the commission becomes available in your wallet. Payouts are issued to the bank or CliQ account on file and are subject to a minimum payout amount and processing time published in the Platform.
We reserve the right to withhold or reverse commissions for orders that are cancelled, refunded, returned, fraudulent, or made in violation of these Terms.
6. Customer Orders, Delivery & Returns
Orders placed through your storefront are fulfilled directly by the supplier. Delivery times, return windows, and refund policies are set by the supplier and published at checkout. We are not responsible for delays, damage in transit, or stock shortages caused by the supplier.
Returns and disputes are handled according to the supplier's published policy and applicable consumer-protection law.
7. Prohibited Conduct
You agree not to:
- List products that infringe intellectual property rights, are counterfeit, illegal, or unsafe.
- Engage in spam, deceptive advertising, fake reviews, or any form of order manipulation.
- Circumvent the Platform to collect payment directly from customers for catalog products.
- Access or attempt to access another user's account.
- Interfere with, probe, or disrupt the Platform's security or infrastructure.
- Use the Platform to harass, threaten, or harm any person.
8. Intellectual Property
The Platform — including software, design, logos, and brand — is owned by Souq+ and protected by intellectual-property laws. You receive a limited, non-exclusive, revocable licence to use the Platform for its intended purpose during the term of your account.
Content you upload (storefront copy, product descriptions you author, images you provide) remains your property; you grant us a worldwide, royalty-free licence to host, display, and distribute it as needed to operate the Platform.
9. Privacy & Data
We collect and process personal data as described in our Privacy Policy. By using the Platform, you consent to that processing. You agree to handle customer data you receive from orders only for the purpose of fulfilling those orders and in compliance with applicable data-protection law.
10. Suspension & Termination
You may close your account at any time from the dashboard. We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or if required by law. Outstanding commission balances remain payable subject to fraud and chargeback review.
Sections that by their nature should survive termination — including payouts owed, intellectual property, limitations of liability, and governing law — will continue to apply.
11. Disclaimers & Limitation of Liability
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, our aggregate liability arising out of or related to your use of the Platform will not exceed the total commissions paid to you in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, or for loss of profits, revenue, or goodwill.
12. Changes to These Terms
We may update these Terms from time to time. When we do, the version number shown in this notice will change, and we will require you to re-accept the updated Terms before continuing to use the Platform. The current version is shown at the top of this notice.
13. Governing Law & Disputes
These Terms are governed by the laws of the Hashemite Kingdom of Jordan, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms will be brought exclusively before the competent courts of Amman, Jordan.
